License Agreement

CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THIS  
PRODUCT. USING THIS PRODUCT INDICATES YOUR ACCEPTANCE OF THESE TERMS AND 
CONDITIONS. IF YOU DO NOT ACCEPT OR UNDERSTAND THEM, YOU SHOULD PROMPTLY 
DESTROY THE PRODUCT TOGETHER WITH ALL COPIES IN ANY FORM.

Proprietary Property

The program, Gold Disk Inc.'s trademarks, product names, user manuals, 
documentation and other support materials (collectively the "Product") are 
proprietary to Gold Disk Inc. In addition, the Product may contain the 
proprietary property of others which has been licensed to Gold Disk Inc., 
such as fonts, sound effects, music, animations and clip art (clip media). 
You agree not to remove any product identification or notices of the 
proprietary restrictions from the Product.

Grant of Rights

You may: 

(i) use the Product for your personal use or in your business or profession; 
and
 
(ii) copy and distribute the Product so long as you include this license 
agreement.

You may not: 

(i) reverse-engineer or decompile the program; 

(ii) make copies of or distribute, or authorize the copying or distribution 
of the Product except as herein provided; 

(iii) include the clip media in any medium for commercial broadcast or use; 
or 

(iv) use the Product or any portion thereof in a commercial product. 

It is agreed that the violation by you of any of the prohibitions described 
above shall be a material breach by you of this license agreement, and any 
attempt to sublicense, assign, or transfer any of the rights, duties, or 
obligations under this agreement, except as expressly provided herein, is 
void.

Term

The license is effective until terminated. You may terminate it at any time 
by destroying the Product together with all copies in any form. It will also 
terminate upon conditions set forth elsewhere in this agreement or if you 
fail to comply with any term or condition of this agreement.  You agree that 
upon such termination you will destroy the Product together with all copies 
in any form.

Exclusion of other Warranties

Gold Disk and Gold Disk's Licensor(s) make no warranties, express or implied, 
including without limitation the implied warranties of merchantability and 
fitness for a particular purpose, regarding this Product. Gold Disk and Gold 
Disk's Licensor(s) do not warrant, guarantee or make any representations 
regarding the use or the results of the use of this Product in terms of its 
correctness, accuracy, reliability, currentness or otherwise. The entire risk
as to the results and performance of this Product is assumed by you. The 
exclusion of implied warranties is not permitted by some jurisdictions. The 
above exclusion may not apply to you.

Disclaimer

In no event will Gold Disk nor Gold Disk’s Licensor(s), their respective 
directors, officers, employees or agents, be liable to you for any 
consequential, incidental, or special damages (including damages for 
loss of business profits, business interruptions, loss of business 
information, and the like) arising out of the use or inability to use this 
Product even if Gold Disk or Gold Disk’s Licensor(s) has been advised of the 
possibility of such damages. Because some jurisdictions do not allow the 
exclusion or limitation of liability for consequential or incidental damages,
the above limitations may not apply to you. The liability of Gold Disk and 
Gold Disk’s Licensor(s) to you for actual damages from any cause whatsoever, 
and regardless of the form of the action (whether in contract, tort 
(including negligence), product liability or otherwise), shall be limited to 
$5.

U.S. Government Users

If the enclosed program has been acquired on behalf of any unit or agency of 
the United States Government, then the following provisions apply in addition 
to the other terms and conditions of this Agreement: 

(a) If the program is acquired on behalf of the U.S. Department of Defense 
(DoD), the following legend applies to the program and accompanying 
documentation:

RESTRICTED RIGHTS LEGEND

Use, duplication, or disclosure by the Government is subject to restrictions 
as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and 
Computer Software clause at DFARS 252.227-7013. Gold Disk Inc., 5155 Spectrum
Way, Bldg. 5, Mississauga, Ontario, Canada L4W 5A1

(b) If the program is acquired on behalf of any unit or agency of the U.S. 
government other than DoD, the government agrees that its rights in the 
program and accompanying documentation will be as defined in Clause 
52.227-19(c)(2) of the FAR.

General

This agreement shall be governed by the laws of the province of Ontario, 
Canada.
